Welcome to LateMate! These Terms of Service (“Terms”) govern your use of the LateMate mobile application (“App”) operated by Fantastic Online Stores Pty Ltd (ABN 39 655 964 784) (“we,” “us,” or “our”).
Please read these Terms carefully before using the App. By creating an account or using LateMate, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Definitions
In these Terms, the following terms have the meanings set out below:
- “App” means the LateMate mobile application available on iOS and Android
- “Pair” means a connection between exactly two Users who track wait sessions together
- “Premium Plan” means the paid subscription tier with full access to all features
- “Service” means all features and functionality provided through the App
- “Session” or “Wait Session” means a recorded period during which one User waits for their Pair partner
- “Subscription” means a recurring payment arrangement for access to the Premium Plan
- “Units Owed” means the playful metric calculated from wait session durations using Pair-specific rules
- “User” means any individual who creates an account and uses the App
- “User Content” means any content created by a User within the App, including display names, session notes, and custom unit labels
2. Acceptance of Terms
By downloading, installing, or using LateMate, you confirm that you:
- Have read and understood these Terms
- Agree to be bound by these Terms
- Meet the eligibility requirements (see Section 4)
- Agree to our Privacy Policy
If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3. Description of Service
LateMate is a playful mobile application that allows Users to:
- Track Wait Sessions – record how long you wait for a partner, friend, or coworker
- Convert wait time into playful Units Owed – turn minutes waited into fun units (e.g., coffees, hugs) based on Pair-specific rules
- View statistics – see weekly and lifetime summaries of wait times and Units Owed
- Share summaries – share Wait Session summaries with your Pair partner
The App is designed to be light-hearted, humorous, and non-blaming. It is intended for entertainment and friendly accountability, not for legal, financial, or contractual obligations between Users.
LateMate is available on iOS and Android platforms.
4. Eligibility
To use LateMate, you must:
- Be at least 13 years of age in the United States (in compliance with COPPA)
- Be at least 16 years of age in the European Union (or the age of digital consent in your member state, which may be lower but not below 13)
- Be at least 15 years of age in Australia (in line with OAIC guidance)
- Meet the minimum age of digital consent in your jurisdiction
- Have the legal capacity to enter into these Terms
- Not have been previously banned from using the App
If you are under 18 years old (or the age of majority in your jurisdiction), you must have your parent or guardian’s consent to use the App.
5. User Accounts
5.1 Account Creation
To use LateMate, you must create an account by providing:
- A valid email address
- A password
- A display name (3-20 alphanumeric characters)
- An avatar selection from our predefined set
5.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activity that occurs under your account
- Notifying us immediately at latemateapp@gmail.com if you suspect unauthorized access
- Keeping your account information accurate and up to date
5.3 One Account Per Person
Each person may maintain only one LateMate account. Creating multiple accounts to circumvent Free Plan limitations or for any other purpose is prohibited.
5.4 Account Deletion
You may delete your account at any time through the App settings. You may also request an export of your data in a portable format (JSON or CSV) before deleting your account by contacting latemateapp@gmail.com. Upon deletion:
- Your display name will be replaced with “Deleted User”
- Your personal session notes will be cleared
- Your authentication record will be permanently deleted
- Anonymized session data may be retained for your former Pair partner’s records
- This action is irreversible
6. Pairs and Shared Data
6.1 Pair Relationships
LateMate allows you to Pair with another User using a short invite code. When you join a Pair:
- Both Users can see shared Session records, display names, and avatars
- Either User can start or stop Wait Sessions for the Pair
- Pair settings (unit labels, minutes per unit) are shared
- Calculated statistics (Units Owed, total wait time) are visible to both Users
6.2 Consent
By joining a Pair, you consent to sharing your display name, avatar, Session data, and calculated statistics with your Pair partner. You should only Pair with people you know and trust.
6.3 Leaving a Pair
Either User may leave a Pair at any time. Historical Session data may be retained in an anonymized form.
7. Acceptable Use Policy
You agree not to use LateMate to:
- Harass, bully, or intimidate other Users
- Create offensive or inappropriate display names or session notes
- Use the App for stalking, surveillance, or monitoring someone without their knowledge and consent
- Attempt to manipulate Session data or exploit the App to gain unfair outcomes
- Reverse engineer, decompile, or disassemble the App or its underlying code
- Interfere with or disrupt the App’s infrastructure, servers, or networks
- Use automated tools, bots, or scripts to interact with the App
- Create accounts for the purpose of spamming or abusing the Service
- Circumvent any security measures or access controls
- Use the App for any illegal purpose or in violation of any applicable laws
- Impersonate another person or misrepresent your identity
- Use the App as evidence in legal proceedings – LateMate data is not designed or intended for legal, financial, or evidentiary purposes
We reserve the right to suspend or terminate accounts that violate this policy.
8. Subscription and Billing
8.1 Free and Premium Plans
LateMate offers:
- Free Plan – basic features with limitations (see Section 9)
- Premium Plan – full access to all features
8.2 Premium Pricing
- Monthly Subscription: $8.99 USD per month
- Yearly Subscription: $29.99 USD per year
Prices may vary by region and are displayed in your local currency in the App Store or Google Play Store.
8.3 Free Trial
Premium Subscriptions include a 3-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, your Subscription will begin and you will be charged the applicable Subscription price. To cancel during the trial:
- iOS: Go to Settings > [Your Name] > Subscriptions > LateMate > Cancel
- Android: Go to Google Play Store > Menu > Subscriptions > LateMate > Cancel
8.4 Payment Processing
- All payments are processed through the Apple App Store (iOS) or Google Play Store (Android)
- We use RevenueCat to manage Subscription status
- We do not directly collect or store your payment information (credit card numbers, billing addresses, etc.)
- Billing is handled entirely by Apple or Google according to their respective terms
8.5 Auto-Renewal and Cancellation
- Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the end of the current period
- Payment will be charged to your Apple ID or Google Play account at confirmation of purchase
- Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price
- You may cancel your Subscription at any time through your device’s App Store or Play Store subscription settings
- Cancellation takes effect at the end of the current billing period – you retain access until then
- Cancelling is as easy as subscribing – use the same App Store or Play Store settings you used to subscribe
8.6 Restore Purchases
If you have an existing Premium Subscription and are using a new device or have reinstalled the App, you can restore your purchase through the App’s subscription settings. This will reconnect your existing Subscription without additional charge.
8.7 Refunds
Refund requests are handled by Apple or Google according to their respective refund policies:
Nothing in this section limits your rights under applicable consumer protection laws, including the Australian Consumer Law (see Section 14).
8.8 Price Changes
We may change Subscription prices with at least 30 days’ advance notice before your next renewal date. You will be notified of any price change via email or in-app notification. If you do not agree with the new price, you may cancel your Subscription before the new price takes effect. Continued Subscription after the effective date of a price change constitutes acceptance of the new price.
9. Free Plan Limitations
The Free Plan includes the following limitations:
- 1 Pair – you may be part of one Pair at a time
- 5 Sessions – you may record up to 5 Wait Sessions
These limitations may change with reasonable notice. Upgrading to Premium removes all limitations.
10. EU Right of Withdrawal
This section applies to consumers in the European Union and the European Economic Area.
10.1 Your Right to Withdraw
Under the EU Consumer Rights Directive (2011/83/EU), you have the right to withdraw from your Subscription within 14 calendar days from the date of purchase, without giving any reason.
10.2 How to Exercise Your Right
To exercise your right of withdrawal, you must inform us of your decision by:
- Emailing latemateapp@gmail.com with “Withdrawal Request” in the subject line, or
- Using the Model Withdrawal Form in the Appendix (Section 25)
10.3 Effects of Withdrawal
If you withdraw within the 14-day period:
- We will refund the Subscription fee
- If you have used the Service during the withdrawal period, you may be charged a proportionate amount for the service received up to the point of withdrawal
- Refunds will be processed through the original payment method (Apple App Store or Google Play Store)
10.4 Waiver of Withdrawal Right
By starting your Subscription (including a free trial that converts to a paid Subscription), you may expressly consent to the immediate provision of the digital service and acknowledge that you will lose your right of withdrawal once the service has been fully performed during the 14-day period. For ongoing Subscriptions, you retain a partial right of withdrawal with a pro-rata refund as described above.
11. Intellectual Property
11.1 Our Intellectual Property
LateMate, including its design, code, graphics, icons, avatars, logos, and content, is the property of Fantastic Online Stores Pty Ltd and is protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.
11.2 Restrictions
You may not:
- Copy, modify, or distribute the App or its content
- Use our trademarks, logos, or branding without written permission
- Create derivative works based on the App
- Use the App’s content for commercial purposes
- Remove any copyright or proprietary notices from the App
11.3 Feedback
If you provide feedback, suggestions, or ideas about LateMate, you grant us a non-exclusive, worldwide, royalty-free license to use, modify, and incorporate that feedback without obligation to you.
12. User-Generated Content
12.1 What Constitutes User Content
User Content in LateMate includes:
- Display names
- Session notes (optional context like “waiting at coffee shop”)
- Pair settings (custom unit labels)
12.2 Your Responsibility
You are solely responsible for any User Content you create. Your content must not:
- Be offensive, abusive, or discriminatory
- Contain personal information of third parties without their consent
- Violate any applicable laws or regulations
- Infringe on any third party’s intellectual property rights
12.3 Our Rights
We reserve the right to review and remove User Content that violates these Terms, without prior notice.
13. Privacy
Your use of LateMate is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the App, you consent to our data practices as described in the Privacy Policy.
14. Australian Consumer Law Notice
This section applies to all Users, as Fantastic Online Stores Pty Ltd is an Australian company.
14.1 Consumer Guarantees
Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with the service, you are entitled to:
- Cancel your service contract with us
- Obtain a refund for the unused portion
- Receive compensation for its reduced value
You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If the failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time.
14.2 These Terms Do Not Exclude Consumer Guarantees
Nothing in these Terms (including the Disclaimers in Section 15 and the Limitation of Liability in Section 16) is intended to exclude, restrict, or modify any consumer rights under the Australian Consumer Law that cannot be excluded, restricted, or modified by agreement.
15. Disclaimers
15.1 “As Is” and “As Available”
To the maximum extent permitted by applicable law, LateMate is provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, either express or implied, including but not limited to:
- Implied warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of any content
Important jurisdictional notice: This disclaimer does not apply to the extent it would exclude or limit rights that cannot be excluded or limited under applicable law, including:
- Australia: Consumer guarantees under the Australian Consumer Law (see Section 14)
- European Union: Conformity guarantees under the EU Digital Content Directive (2019/770)
- United Kingdom: Rights under the Consumer Rights Act 2015
15.2 No Guarantee of Availability
We do not guarantee that the App will:
- Be available at all times or without interruption
- Be free of errors, bugs, or security vulnerabilities
- Meet your specific requirements
- Produce accurate timing data in all circumstances
LateMate is designed for entertainment and friendly use only. Session data, durations, and Units Owed have no legal, financial, or contractual significance. You should not rely on LateMate data for any legal, financial, or formal dispute resolution purpose.
15.4 Timing Accuracy
While we strive for accurate timing using server-side timestamps, factors such as network latency, offline mode sync delays, and device clock variations may affect displayed durations. LateMate timing is approximate and intended for fun, not precision.
16. Limitation of Liability
16.1 Exclusion of Damages
To the maximum extent permitted by applicable law, Fantastic Online Stores Pty Ltd and its officers, directors, employees, and agents shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from:
- Your use of or inability to use the App
- Unauthorized access to or alteration of your data
- Any third-party conduct on the App
- Any content obtained from the App
- Interruption or cessation of the Service
16.2 Liability Cap
To the maximum extent permitted by applicable law, our total aggregate liability for all claims arising from or related to the App shall not exceed the greater of:
- The amount you paid us in the 12 months preceding the claim, or
- $50 USD
16.3 Jurisdictional Limitations and Carve-Outs
This limitation of liability does not exclude or limit liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Gross negligence or willful misconduct
- Any liability that cannot be excluded under the Australian Consumer Law (see Section 14)
- Any liability that cannot be excluded under the EU Digital Content Directive or UK Consumer Rights Act 2015
- Any other liability that cannot be excluded or limited by applicable law
17. Indemnification
You agree to indemnify, defend, and hold harmless Fantastic Online Stores Pty Ltd and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:
- Your violation of these Terms
- Your violation of any third-party rights
- Any User Content you create through the App that violates applicable law
This indemnification does not apply to:
- Losses caused by our negligence, breach of these Terms, or breach of applicable law
- Any claims arising from our failure to meet our obligations under these Terms or applicable consumer protection laws
- Any liability that cannot be shifted to you under applicable consumer protection law, including the Australian Consumer Law, EU consumer directives, or the UK Consumer Rights Act 2015
18. Termination
18.1 By You
You may stop using LateMate and delete your account at any time through the App settings. You may request an export of your data before deletion (see Section 5.4).
18.2 By Us
We may suspend or terminate your account if:
- You materially violate these Terms or the Acceptable Use Policy
- We are required to do so by law
- Your conduct poses a risk to other Users or to our infrastructure
Except in cases of material breach or legal requirement, we will provide reasonable notice (at least 14 days) before terminating your account.
18.3 Effect of Termination
Upon termination:
- Your right to use the App ceases immediately
- We may delete your account data in accordance with our Privacy Policy
- If we terminate your account without fault on your part, we will provide a pro-rata refund for any unused portion of your active Subscription period
- If your account is terminated for violation of these Terms, active Subscriptions will not be automatically refunded (you may request a refund from Apple or Google)
- You may request an export of your data within 30 days of termination by contacting latemateapp@gmail.com
- Provisions that by their nature should survive termination will survive (including Sections 11, 14, 15, 16, 17, 19, and 20)
19. Dispute Resolution
Before filing any formal legal proceeding, you agree to contact us at latemateapp@gmail.com and attempt to resolve the dispute informally for at least 30 days.
19.2 Arbitration (United States Residents Only)
This section applies only to residents of the United States. If we cannot resolve the dispute informally, any dispute arising from these Terms or your use of the App shall be resolved through binding arbitration, except:
- Claims that may be brought in small claims court
- Requests for injunctive or equitable relief related to intellectual property
You may opt out of this arbitration clause by notifying us in writing at latemateapp@gmail.com within 30 days of first accepting these Terms.
This arbitration clause does not apply to residents of the European Union, United Kingdom, or Australia, who retain the right to bring proceedings in their local courts.
19.3 Class Action Waiver (United States Residents Only)
This section applies only to residents of the United States. To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted on an individual basis, and not as part of a class, consolidated, or representative action.
This class action waiver does not apply to residents of the European Union, United Kingdom, or Australia, who retain the right to participate in representative actions and class proceedings as permitted by their local laws.
19.4 EU/UK/Australian Residents
If you are a resident of the European Union, United Kingdom, or Australia, you may bring legal proceedings in the courts of your country of residence. Nothing in these Terms limits your right to access local courts or participate in collective legal proceedings.
20. Governing Law
These Terms are governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought in the courts of Victoria, Australia.
Consumer law savings clause: Nothing in these Terms excludes, restricts, or modifies any rights you may have under mandatory consumer protection laws in your jurisdiction that cannot be excluded, restricted, or modified by agreement. This includes, but is not limited to:
- Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010)
- EU Consumer Rights Directive (2011/83/EU) and EU Digital Content Directive (2019/770)
- UK Consumer Rights Act 2015
- Applicable US state consumer protection laws
If you are accessing the App from a jurisdiction with mandatory consumer protection laws, those laws shall take precedence to the extent they provide you with greater protection than these Terms.
21. Changes to These Terms
We may update these Terms from time to time. When we make changes:
- We will update the “Last Updated” date and version number at the top of this page
- For material changes (including changes to pricing, core functionality, or dispute resolution), we will notify you through an in-app notification and/or email at least 30 days before the changes take effect
- For material changes that negatively affect your rights, you have the right to terminate your Subscription before the new Terms take effect
- Continued use of the App after the effective date constitutes acceptance of the new Terms
- If you do not agree with the updated Terms, you should stop using the App and delete your account
We maintain an archive of previous versions of these Terms, available upon request.
22. Accessibility
We are committed to making LateMate accessible to all users.
- We strive to comply with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA where applicable
- We are aware of the European Accessibility Act (effective June 28, 2025) and the Australian Disability Discrimination Act 1992 and work to meet their requirements
- If you encounter any accessibility barriers while using LateMate, please contact us at latemateapp@gmail.com with “Accessibility” in the subject line
- We welcome feedback on how we can improve the accessibility of the App
23. General Provisions
23.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Fantastic Online Stores Pty Ltd regarding your use of LateMate.
23.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
23.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
23.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights in connection with a merger, acquisition, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms. Any other assignment by us requires reasonable notice to you.
23.5 Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or pandemics.
23.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
